This Service Order ("Order") is entered into pursuant to the Virridy Lume Customer Agreement (the "Customer Agreement") between Virridy Digital LLC ("Virridy") and the customer identified below ("Customer"). Capitalized terms not defined herein have the meanings given in the Customer Agreement. This Order is subject to and incorporates the Customer Agreement, a copy of which is attached hereto or available at thelume.ai/lume-agreement. By signing this Order, Customer acknowledges that it has received, reviewed, and agrees to be bound by the Customer Agreement.
This Order is governed by and subject to the Virridy Lume Customer Agreement ("Customer Agreement"), which is incorporated herein by reference. The Customer Agreement is attached below.
In the event of any conflict between this Order and the Customer Agreement, the Customer Agreement shall control, except to the extent this Order expressly states that a specific term supersedes a specific provision of the Customer Agreement. All terms and conditions of the Customer Agreement not modified by this Order remain in full force and effect.
Additional order-specific terms:
1. Subscription Term and renewal. The Subscription Term for the Devices on this Order begins on the date the Devices are delivered and lasts 12 months. If the Devices have not been returned to Virridy by the end of a Subscription Term, the Subscription Term renews automatically for another 12 months, and Virridy will invoice the renewal fee at its then-current rates (Customer Agreement Section 12.2). To end the subscription, return the Devices to Virridy before the Subscription Term ends; Virridy will provide return instructions. This term supersedes the renewal and non-renewal notice provisions of Section 12.1 of the Customer Agreement.
2. Satellite data service. When a Device transmits over a satellite connection instead of a cellular network, it sends a summary of its measurements rather than the full set of readings it collects. Data that reaches the Platform through satellite transmissions is therefore summarized, and the full readings are not transmitted.
By signing below, Customer confirms that it has received, reviewed, and agrees to be bound by the Customer Agreement, including without limitation the disclaimers in Section 13, the limitations of liability in Section 16, and the acknowledgment in Section 3.4 that the Devices and Services are not certified by the U.S. Environmental Protection Agency and are not validated for clinical or regulatory-compliance purposes.
